The Law #66 (Budget 2017) was published in the Official Gazette #52 dated 7^th November 2017 (attached a scanned copy) and includes some major tax amendments and discounts that we hereby summarize:

Article 40: Extension period for tax objections on past due tax adjustments made by the Ministry of Finance. Any taxpayer, who has been notified by the Ministry of Finance (MoF) of a tax adjustment since the 1^st January 2009 and who didn’t pay all the due taxes and penalties till the 7^th November 2017 or didn’t objected the tax adjustment within the legal period of 2 months according to the Law #44/2008 (Law on the tax procedures) or has objected the tax adjustment within the legal period but his tax objection was refused in its form by the MoF or by the tax claim committee, has the ability to submit a new tax objection to the MoF or the tax claim committee before the 8^th January 2018, if he settles 25% of the due taxes and penalties before submitting his new tax objection.

Article 41: Transformation of legal entities (e.g. from a partnership or SARL to SAL) are free of any tax should the transformation be done at the par value of the shares and the shareholding structure remains the same (i.e. no transfer of shares and no change in the number or % of shares) within a period two years from the transformation date. Any change in the shareholding structure within the period of two years from the transformation date will subject the company to a revaluation of its shares (i.e. valuation of its Goodwill) and to a capital gain tax of 15% on the revaluation variance plus penalties.

Article 43: Tax discount of 85% on the delay declaration and payment penalties for any tax infringement that occurred before this law was published at the condition of settling their taxes and the discounted penalties within 6 months from the date this law was published (before the 7^th May 2018). Moreover, the taxpayers who have multiple employers and who didn’t declare and pay the difference in their income tax according to the specific tax form (i.e. R8) are exempted of any delay declaration and payment penalties for the years up to 2016 at the condition of declaring (i.e. file their R8 forms) and pay the related taxes within 3 months from the date this law was published (before the 7^th February 2018).

Articles 45 & 46: Tax discount of 90% on the penalties related to the Car Mechanic fees and the Municipality tax if these fees or taxes and the discounted penalties are paid before end of February 2018.

Article 49: an Exceptional Revaluation of Fixed Assets is allowed for one time only to any taxpayer (companies and establishments) except the real estate companies (i.e. companies holding properties available for sale in their current assets) within a period of 12 months from the date this law was published (before the 7^th November 2018). The purpose of this exceptional revaluation that covers any kind of fixed asset (lands, buildings, machineries, shares in other companies, etc…) is to adjust their book values to their fair market values. These fixed assets should be recorded in the books of the taxpayer before the 1^st January 2016 at the condition that its revaluated value should not exceed its market value as at 31 December 2015. This revaluation can be done by any certified accountant or sworn expert of the taxpayer’s choice. The revaluation variance resulting from this exceptional revaluation is subject to 5% tax and should be paid together with a request for approval from the Ministry of Finance who has the right to refuse this revaluation. Taxpayers who benefit or used to benefit from an income tax exemption are not allowed to undertake such exceptional revaluation of their fixed assets. If the taxpayer disposes part or all the revaluated fixed asset within a period of 3 years from the revaluation date, this disposal is subject to the 15% capital gain tax on the difference between the selling price and the net book value of the fixed asset before revaluation.

Article 50: Amendment of the Value Added Tax (VAT) Law to reduce the turnover threshold that entitles a taxpayer to registered for VAT from LBP 150 million to LBP 100 million over a period of one to 4 consecutive quarters. Thus, all businesses subject to VAT with a turnover in excess of LBP 100 million over a period of one to 4 consecutive quarters must register for VAT. Moreover, any importer or exporter should also register for VAT whatever is the level of his turnover. It is worth noting that the calculation of this threshold by the Ministry of Finance will be based on the past quarters of the year 2017 to define those who should register for VAT starting form the first quarter of the year 2018 including the importers and exporters who would have done at least one import or export transaction in 2017. The optional VAT registration has now on a threshold of LBP 50 million (minimum) over a period of one to 4 consecutive quarters. No optional registration for VAT will be accepted below this threshold.

This Law also includes some important amendments on the succession tax such as the increase of the tax rebate by individual for the calculation of the succession tax from LBP 40 million to LBP 120 million (Article 55), limitation to the year 1994 for any succession tax control or adjustment on the previous years (Article 53) among other amendments on the tax Law and procedures.

Conférence sur les enjeux fiscaux a l’ombre des nouvelles réglementations internationales

Intro:

D’aucuns se demanderont si parler de fiscalité et de trust dans ce contexte politique régional et local difficile voire dangereux ne serait pas déplacé ou tout au moins hors de propos ?

La réponse à cette interrogation en fait, est par la négative et l’affirmation (heureuse ou malheureuse) contraire que les bruits de bottes de guerre ou de détonations de canons ne tairont pas les fanfares des nouvelles mesures fiscales ou de la pléiade d’impôts récemment introduite dans notre quotidien morose.

Parler donc de l’actualité fiscale libanaise prolifique passe nécessairement par trois axes.

J’aborderai donc dans ma présentation tour à tour et succinctement l’aspect institutionnel et finances publiques en mettant en exergue l’adoption pour la première fois depuis 11 ans d’une loi de finances avec ses nouveautés et ses irrégularités.

Je parlerai ensuite des défis, des risques et des attentes auxquels le Liban est confronté sur le plan international aussi bien suite à son adhésion récente au forum mondial qu’aux pressions politiques et financières exercées pour l’acculer à un changement de régime.

Je conclurai enfin avec un état sommaire des principaux changements auxquels les contribuables, résidents et non-résidents, seront confrontés suite aux dernières législations.

Aspect institutionnel et finances publiques.

Apres plus de 11 ans pendant lesquels le pays a fonctionné sur la base du 12eme provisoire, le parlement prorogé a adopté par la loi une loi de finance et un Budget pour l’exercice pratiquement clos 2017.

Ceci constitue en fait deux pas en avant et un pas en arrière. Je m’explique : En fait ceci constitue à la fois une avancée notoire doublée d’une irrégularité flagrante.

Avancées:
Le Budget est un acte d’autorisation et de prévision.

Consiste en l’autorisation de perception des impôts, à l’évaluation des ressources et des dépenses de l’Etat ainsi qu’à l’équilibre budgétaire de la trésorerie → donc tout ce qui a été perçu ou dépensé pendant 11 ans en dépit de lois autorisant les dépassements est illégal et enfreint la Constitution.

Précise de la politique du gouvernement et sa stratégie économique → instrument pour agir sur la conjoncture.
Encadre les dépenses et fixe des plafonds qu’il est difficile de dépasser.
Nombre de dispositions à portée réformatrice et qui prend en considération les besoins sociaux et économiques:
Notification du contribuable → lutter contre les failles et les négligences ou l’arbitraire + donner un délai pour contrer la prescription et présenter des recours.
Automatisation des services → vers le e-government.
Mesures de lutte contre les sociétés taxi (fictives).
Possibilité de transformer les sociétés en franchise de droits et d’impôts → va servir à moderniser les structures et a une meilleure gouvernance et moins d’arbitraire de l’administration.
Exemptions fiscales (5 ans) pour l’implantation de sociétés avant le 31/12/2018 dans une région à développer et à condition d’employer au moins 3 libanais et un handicapé (premier emploi ou au chômage depuis 6 mois).
Réactualisation exceptionnelle des actifs à un taux incitatif (5% au lieu de 15% et 10%) pour parer à l’entrée en application de l’imposition des plus-values immobilières des particuliers.
Fixation à l’année 1994 des possibilités de retour en arrière pour l’imposition des droits de succession et de mutation.
Augmentation des abattements personnels pour l’application des droits de succession → X 3 (ex : 120 millions en ligne directe au lieu de 40 millions actuellement) + aménagements des mécanismes de fractionnement des payements en cas de manque de liquidités.
Limitation et contrôle d’emploi des fonctionnaires et contractuels dans certains ministères et son conditionnement à l’agrément du Conseil des ministres.
Limitation du report des dotations et crédits non-utilisés (article 114 de la loi sur la comptabilité publique).
Ouverture relative des instances publiques (gouvernement et commissions parlementaires) au dialogue avec les forces vives de la société (organismes économiques, professionnels et syndicats).

Failles:
La première et la plus importante se situe au niveau de la violation de l’article 87 de la Constitution et de l’obligation d’adopter une loi de règlement.

Celle-ci arrête le montant définitif des recettes et des dépenses budgétaires réalisées deux ans plus tôt pour permettre un meilleur contrôle parlementaire.

En son absence le Budget ne peut être ni publié ni entrer en vigueur.

Le débat sur la loi de règlement est le temps fort du contrôle et de l’évaluation parlementaire.

Tendance continue et renouvelée visant à régulariser les infractions par des abaissements des pénalités → encouragement à l’incivisme.
Absence d’une vision globale et de vrais reformes de fonds.
Tendance aux cavaliers budgétaires.

Le Liban dans l’œil du cyclone international.

Parler de la place et du rôle du Liban sur la scène nous amène à aborder le sujet sous deux angles complémentaires: (1) l’échange d’informations financières et fiscales, d’une part, et (2) d’autre part, l’optimisation fiscale.

L’échange d’informations:

Depuis la Loi No 55 adoptant les conventions MAC (Convention sur l’assistance administrative mutuelle en matière d’impôts/l’échange sur demande) et MCAA (Multilateral Competent Authority Agreement) le Liban a levé d’une part le secret bancaire concernant les déposants non-résidents (pratiquement à dater du 3 novembre 2016) et bénéficie, d’autre part, de la possibilité de débusquer les avoirs de ses résidents à l’étranger. Plus pratiquement :

La MAC:

Va permettre de répondre aux demandes d’informations qui lui sont communiqués par des pays membres (120) à dater du 15 mai 2017 pour les pays non liés encore par des DTTs.
Retour aux informations existantes au 3 novembre 2016.
Des pays comme le Liban, la Suisse ou le Luxembourg qui font déjà partie de la MAC pourront échanger les mêmes informations sur demande.
Ce qui suppose donc de valider la résidence étrangère de la personne.
l’article 7 de la MAC prévoit un échange spontané unilatéral sans demande préalable s’il existe des présomptions sérieuses de fraude ou d’évasion fiscale affectant les intérêts financiers d’un autre état membre.
- La MCAA:
Vise à mettre en place un système intergouvernemental d’échanges standardisés annuels et automatiques d’informations relatives aux comptes et actifs financiers des non-résidents (normes CRS).
Suppose que plusieurs conditions soient réalisées:
Critère de résidence soit bien défini (Loi No 60);
phase 3 du contrôle par les pairs → conformité et accessibilité dans l’application des normes de transparence et d’échange;
mise en place un mécanisme de garantie et de protection de la confidentialité des informations reçues;
inclusion bilatérale dans la liste d’échange.

Compilation depuis le 30 juin 2016 → transfert au Ministère libanais des finances le 1 juillet 2018 et échange en principe à partir de septembre 2018.
failles identifiées à ce jour dans le système d’échange automatique («CRS loopholes and deficiencies») :

élection de domicile (résidence fiscale) dans un pays non-fiscalisé (comme les EAU);
ouverture de comptes bancaires dans des pays n’ayant pas adhéré au MCAA (out-flows aux Etats-Unis);

gestion par le biais de gestionnaires (Investment Manager & Custodian Institution) locaux ;

Modification du régime d’imposition (territoriale → article 69).

L’Optimisation Fiscale:
Place du Liban dans le concert des nations et les frasques des Panama et Paradis Papers → Paradis Fiscal ou pays à fiscalité privilégiée.
Profiter de l’aubaine en adaptant nos lois et en crédibilisant notre système. Prendre les devants:

Maintenir et étendre l’imposition du revenu de capitaux de source mondiale pour éviter les requalifications des conventions (CAA Paris, 7ème chambre, 25 mars 2011 N° 09PA04347).
Limiter l’utilisation des structures holding et offshore (CE 3ème/8ème chambres réunies 20/05/2016 No 389994- Easy Vista et CAA VERSAILLES 3ème chambre 29/11/2016).
Changer la pratique visant à des investissements immobiliers en franchise d’imposition.

Nouvelles Impositions:

Elles sont le fruit aussi bien des dispositions de la nouvelle loi de finances de 2017 (Loi No 66) que de la loi No 64 visant au financement de l’échelle des salaires dans la fonction publique ou encore la Loi no 57 du 5/10/2017 fixant le régime fiscal des activités pétrolières (offshore). Voici un aperçu des plus importantes:

Abaissement à partir du 1 janvier 2018 d’un nouveau seuil minimal d’assujettissement à la TVA (100 millions de CA sur 1 ou 4 trimestres au lieu de 150 millions actuellement) et hausse du taux à 11 %. Absence de seuil pour les importateurs et exportateurs.
Hausse à dater du 27 octobre 2017 de l’impôt sur les dépôts et autres revenus financiers assimilés de 5 à 7% sans possibilité de crédit d’impôt récupérable pour les entreprises financières et commerciales.
Application à dater du 27/10/2017 d’un nouvel impôt sur les plus-values immobilières des particuliers (biens bâtis et non-bâtis) au taux de 15% avec exemption sur deux résidences principales et taux d’érosion annuel de 8% pour les autres (exemption totale au bout de 12 ans) → déclaration et paiement dans les deux mois.
Augmentation à partir du 27/10/2017 du droit de timbre proportionnel de 3 à 43%০ (pour mille) et sur les factures et reçus à 250 L.L.
Application d’une série de taxes indirectes et droits judicaires et de timbres notamment pour les formalités administratives.
Acquittement d’une avance sur droit d’enregistrement de 2% récupérable si le transfert de propriété se fait dans un délai d’un an.
Augmentation de l’impôt sur les sociétés de 15 à 17%.
Fixation du régime d’imposition des sociétés pétrolières avec un taux d’IS à 20%.
Fixation du régime des sociétés en participation et des JV (Arrêté du Ministre des finances No 826/1 du 5/9/2017).

Briefing of Tax Law 64 dated 26 October 2017

The Law #64 that amended some tax articles and introduced new taxes to finance the increase of wages & salaries in the public sector was published in the Official Gazette #50 on Thursday 26th October 2017 (attached a scanned copy). This Law has replaced the previous Law #45 published in the Official Gazette #37 on Monday 21st August 2017 that was invalidated by the decision of the Constitutional Council on the 30th August 2017. We hereby give you a brief on the main relevant tax updates related to corporate operations that can affect your business:

The Value Added Tax (VAT) rate has been increased by 1% from 10% to 11% starting from the quarter that follows the date this Law was published (i.e. starting from 1st January 2018).

Amendment of the Article 25 of the VAT Law #379 dated 14/12/2001.

The Corporate Income Tax rate for joint-stock companies (SAL), limited liabilities companies (SARL) and limited partnership by shares (SCA) has been increased by 2% from 15% to 17% starting from the fiscal year 2017. Consequently, the non-resident withholding tax rate will increase from 7.5% to 5% for services provided by non-residents and from 2.25% to 2.55% on goods purchased from non-residents.

Amendment of the Article 32 of the Legislative-Decree #144 dated 12/6/1959 (Income Tax Law).

The Tax on Interest rate has been increased by 2% from 5% to 7% starting from the date this Law was published. This tax is deductible from the net profit but is no longer a tax credit for companies subject to corporate income tax. As for taxpayers subject to deemed profit taxation according to the Article 44 of the Income Tax Law (i.e. insurance, saving, shipping and air & land freight companies), the net interest income (after tax on interest) is considered as part of the taxable income subject to deemed profit taxation. It is worth noting that contrary to what was mentioned in the previous Law #45 (invalidated by the Constitutional Council), the Law #64 has excluded the liberal professions (lawyers, doctors, engineers, accountants, etc…) subject to the deemed profit taxation from the provisions of the Article 17 of this Law.

Amendment of the Article 51 of the Law #497 dated 30/1/2003 (Budget Law 2003).

The Fiscal Stamp Duty rate has been increased by 1‰ from 3‰ to 4‰ starting from the date this Law was published. The fiscal stamp duty is calculated on the initial amount excluding VAT provided that the amount of VAT is separately stated in the contract or deed signed by parties regardless their nationality or place of residence. The fiscal stamp duty is due again at the renewal or extension of the duration of the contract or deed whether clearly stated or not in the document.

Furthermore, the fixed stamp duty amount on corporate documents (invoices, receipts, statement of accounts issued by banks or companies, unpaid invoices and other documents not subject to the variable fiscal stamp duty) has been increased from LBP 100 to LBP 250 starting from the date this Law was published (in accordance with the previous directives of the MoF/notification #3386/S1 dated 24/8/2017 on the practical application of this fixed stamp duty). Other fixed stamp duties have also been increased by this Law (e.g. the LBP 2,500 stamp on the invoices issued by the Ministry of Telecom. to phone and internet services subscribers and invoices, receipts and prepaid cards issued by mobile operators).

Amendment of the Article 18 of the Decree #67 dated 5/8/1967 (Fiscal Stamp Duty Law) and Appendices (point 46, 47, 68, 94, 95 and 111).

The Capital Gain Tax rate on the disposal of fixed assets has been increased by 5% from 10% to 15% starting from the fiscal year 2017. However, the losses carried forward can be used to reduce this capital gain. The revaluation gain, resulting from the revaluation of assets undertaken by entities subject to the real profit taxation every 5 years, is taxable at 10% if the revaluation gain is not used to cancel losses carried forward or left in a separate caption in the assets and liabilities of the balance sheet (unchanged legislation). However, the Article 13 – paragraph 3 of the Law #64 has broaden the scope of the capital gain tax to include the gain on disposal of real estate properties realized by individuals and entities exempted from the income tax or individuals subject to income tax but selling real estate properties that are not part of their professional business that are from now on subject to 15% capital gain tax. However, the primary and secondary residence of individuals (maximum of 2 residences) and real estate properties held by individuals for more than 12 years (8% deduction from the capital gain per year held) are exempted from capital gain tax (attached the MoF notification #3387/S1 dated 24/8/2017 on this capital gain tax).

Amendment of the Article 45 of the Legislative-Decree #144 dated 12/6/1959 (Income Tax Law).

The Tax on Dividend discounted rate of 5% has been cancelled for companies listed in Beirut Stock Exchange or having assigned at least 20% of its capital to Arab companies whose shares are listed in their respective country stock exchange or foreign companies whose shares are listed in the OECD countries stock exchange or having issued Global Depository Receipts GDR for the equivalent of at least 20% of the number of its shares in the Beirut Stock Exchange. From now on, the standard tax on dividend rate of 10% is applicable to all companies.

Amendment of the Article 72 of the Legislative-Decree #144 dated 12/6/1959 (Income Tax Law) with the cancellation of the Article 25 of Law #173 dated 14/2/2000 (Budget Law 2000).

The down payment of 2% on the Tax on real estate sale contract should be paid within 15 days of the contract date. This down payment will be deducted from the total registration fees of 5% provided that the registration occurs within one year from the contract date. This is not a new tax but its payment is now required within a short period of time to force the registration of purchased real estate properties.

The Law #64 further imposed penalties on illegal public maritime properties, increased the tax rate on lottery prizes and introduced a new fee on freight entering the ports in the country and increased the tax on imported tobacco and alcohol products. It also imposed a fee on non-Lebanese entering the country by land and increased the tax on air passengers leaving the country, raised the public notaries’ fees collected on behalf of the Treasury and imposed a fee on cement production, among many other measures.
